Terms of Service

1. Acceptance of Terms

By accessing or using EventQuoter™ ("the Platform"), operated by AutomateSMT ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

EventQuoter™ is an AI-powered quotation generation platform designed for audio-visual event companies. The Platform provides:

• AI-assisted quotation generation using natural language input
• Inventory and price book management
• Multi-tenant group management with customisable AI configurations
• Quote storage, versioning, and retrieval

3. Account Registration

To use the Platform, you must:

• Register with a valid email address that has been whitelisted by an administrator
• Provide accurate and complete information
• Maintain the security of your login credentials
• Notify us immediately of any unauthorised use of your account

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorised access to other accounts or systems
• Interfere with or disrupt the Platform's operation
• Reverse engineer, decompile, or attempt to extract the source code
• Use automated tools to scrape or extract data from the Platform
• Share your account credentials with third parties

5. AI-Generated Content

Quotations and responses generated by the AI assistant are provided as suggestions and tools to assist your business. You acknowledge that:

• AI-generated quotations should be reviewed before sending to clients
• Pricing in quotations is determined by your configured price book, not by AI
• We are not responsible for errors in quotations resulting from incorrect inventory data
• AI responses may occasionally contain inaccuracies and should be verified

6. Data Ownership

You retain ownership of all data you input into the Platform, including inventory data, pricing information, and client details. We do not claim ownership of your business data.

We retain the right to use anonymised, aggregated usage data to improve the Platform.

7. Subscription and Payment

Access to EventQuoter™ is provided on a subscription basis. Specific pricing, billing cycles, and payment terms will be communicated separately. We reserve the right to modify pricing with reasonable notice to existing subscribers.

8. Service Availability

We aim to maintain high availability of the Platform but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime due to factors beyond our control, including third-party service disruptions (e.g., OpenAI API).

9. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for lost revenue resulting from quotations generated through the Platform

10. Termination

We may suspend or terminate your account if you violate these Terms. You may request account deletion at any time by contacting us. Upon termination, your access to the Platform will cease, and we will delete your data in accordance with our Privacy Policy.

11. Intellectual Property

The Platform, including its design, code, features, and branding, is the intellectual property of AutomateSMT. The EventQuoter™ name and logo are trademarks of AutomateSMT. You may not use our intellectual property without written permission.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland.

13. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
